TT CONTRACTS

TERMS OF USE AND ELECTRONIC SIGNATURE SERVICES AGREEMENT

Effective date: October 13, 2026
Last updated: October 13, 2026
Service: TT Contracts at https://www.truckerstalentesign.com
Contracting entity: Truckers Talent Incorporated

IMPORTANT NOTICE: THESE TERMS INCLUDE LIMITATIONS OF LIABILITY, AN INDEMNIFICATION CLAUSE, AND AN AGREEMENT TO RESOLVE CERTAIN DISPUTES THROUGH INDIVIDUAL ARBITRATION. SECTION 28 EXPLAINS THE ARBITRATION PROCESS AND AN OPT-OUT RIGHT. THE TERMS GOVERN USE OF THE TT CONTRACTS SOFTWARE, NOT THE SUBSTANTIVE TERMS OF DOCUMENTS THAT CUSTOMERS CREATE OR SIGN THROUGH IT.

These Terms of Use (the “Terms”) form a binding agreement between you and Truckers Talent Incorporated, the operator of the TT Contracts product (“TT Contracts,” “Company,” “we,” “our,” or “us”), when you affirmatively accept these Terms in the account-creation process, through another clearly presented acceptance flow, or in a signing workflow that expressly presents them for acceptance. Other access is governed by these Terms only to the extent an enforceable agreement arises under Applicable Law. If you act for an organization, you represent that you have authority to bind it; if you do not, do not establish or use an organizational account. Invited recipients who only view or sign a document are subject to the provisions presented and affirmatively accepted in their specific signing workflow; they do not become paid subscribers merely by receiving a document.

If you do not agree, you must not create an account or use the applicable Services. We recommend downloading or retaining a copy of these Terms. Our separate Privacy Policy explains personal-data practices; an applicable order form, data processing agreement, or enterprise agreement may add to these Terms as provided in Section 30.

PART I. SERVICES AND USER RESPONSIBILITIES

1. Definitions and Interpretation

“Account” means a registered TT Contracts login and related settings, credentials, billing details, and accessible workspaces. “Organization” means a business or other legal entity using TT Contracts through its authorized personnel. “Administrator” means a person designated to manage an Organization's workspace, users, permissions, billing, and documents. “Customer” means an individual or Organization registering or subscribing to the Services. “Sender” means the person initiating a document or signature request. “Signer” means an individual asked to electronically execute or acknowledge a document. “Recipient” means a person invited to view, review, receive, or sign a document, with or without an Account.

“Customer Documents” means contracts, files, templates, text, data, signatures, document metadata, and other materials uploaded, created, or supplied by users, excluding TT Contracts' own software, materials, and system infrastructure. “Signature Event” means an action within a signing workflow by which a Signer expresses an intent to adopt an electronic signature or acknowledgment. “Audit Data” means event information generated or retained by the Services, which may include timestamps, user actions, routing or completion statuses, email delivery information, and other available records. “Services” means the TT Contracts website, accounts, online document workspace, templates, document sending, electronic-signature workflows, activity tracking, available integrations, billing features, and related services. “Order” means the plan selected at checkout or any signed order form or enterprise agreement.

“Applicable Law” means binding laws, regulations, and legal requirements applicable to the relevant person, document, and transaction. “Including” means “including without limitation.” References to “days” are calendar days unless otherwise stated. The laws governing a user-created contract may differ from the laws governing these Terms.

2. What TT Contracts Provides - and Does Not Provide

2.1 Technology provider only. TT Contracts provides a software service for preparing, organizing, sending, electronically signing, tracking, and storing documents. We are not a party, guarantor, escrow agent, fiduciary, contracting principal, employer, or legal representative in a Customer Document merely because it passes through our Services. The parties identified in the Customer Document - not TT Contracts - decide whether to contract, what to promise, what information to disclose, and whether to perform.

2.2 No legal, tax, financial, or professional advice. We do not operate as a law firm, provide legal representation, certify that a template is appropriate, determine legal capacity, or advise on contract enforceability, employment classification, insurance, regulated transactions, or business compliance. General guides, templates, suggestions, and educational material are not substitutes for qualified counsel or other professionals. No attorney-client relationship arises from using the Services.

2.3 No guarantee of outcome. We do not promise that a recipient will review or sign, that an agreement will be enforceable, that a government body, regulator, court, lender, or third party will accept a signature, that a party will perform, or that a dispute will be resolved in any particular way.

2.4 No general notarization or legal identity certification. Unless we separately offer and expressly describe a regulated notarization or identity-verification product, a signature workflow does not constitute notarization, legal witnessing, a governmental identity check, or a guarantee of the Signer's identity or authority.

3. Eligibility, Authority, and Account Registration

3.1 Users creating Accounts must be at least 18 years old and have legal capacity to contract, or the age of majority if higher. Minors may not establish Accounts. Signers and Senders must have the capacity and authority required for each Customer Document; an invitation does not establish either.

3.2 You must give accurate, current registration, contact, billing, and profile information and keep it updated. No one may impersonate another person, create misleading business identities, or claim authority not actually granted. We may request reasonable verification for fraud prevention, legal compliance, or account recovery, and may decline, limit, or suspend access if the required verification is not provided.

3.3 Each user is responsible for safeguarding credentials, restricting authorized access, promptly reporting suspected compromise, and promptly revoking lost, shared, or misused access. Use of a shared mailbox, unauthorized forwarding, or exposure of signing links can compromise signature attribution. Tell us promptly about suspicious activity at the verified support channel in your account or the contact address in Section 32.

3.4 We may use reasonable security controls, fraud monitoring, rate limits, and abuse-detection methods. Our decision to allow access or a transaction is not a representation that a user, identity, company, signer, or document has been legally verified.

4. Organization Accounts and Administrative Control

4.1 An Organization is responsible for its employees, contractors, seats, Administrator designations, permissions, document sharing, and activities performed on its behalf. It must confirm that each user has a legitimate business purpose and authority to access the relevant documents. An Administrator's configuration, invitation, deletion, export, or disclosure of documents may affect other Organization members.

4.2 An Organization controls internal access and may be able to reassign seats, remove personnel, change permissions, or access business workspace documents consistent with the chosen features, written agreements, and law. Users should not expect an Organization workspace to function as their private personal document vault.

4.3 An employee or contractor leaving an Organization must not retain or use access, export protected documents, or represent continued authority. Internal employment or contractor disputes, permission disagreements, and responsibility for incorrect Administrator settings are matters between the Organization and its personnel, except to the extent caused by our own unlawful conduct.

5. Documents, Templates, Ownership, and Permissions

5.1 Ownership. As between TT Contracts and you, you or your applicable licensors retain your rights in Customer Documents. We do not acquire ownership of the underlying agreements or customer business records by hosting them. Our Services, software, user interface, product branding, proprietary templates, documentation, and platform technology remain owned by us or our licensors.

5.2 Limited operational license. You grant TT Contracts and its service providers a worldwide, non-exclusive license, for the duration reasonably needed to provide the Services and comply with legal obligations, to host, store, process, transmit, format, convert, reproduce for technical operation, display to authorized recipients, back up, and otherwise use Customer Documents solely to provide, secure, maintain, troubleshoot, and lawfully operate the Services as described in our Privacy Policy and applicable contracts. This does not authorize us to sell the contents of your private agreements or use them to train general-purpose AI models without a separate lawful basis and appropriate notice or authorization.

5.3 Your warranties and permissions. You represent that you have sufficient rights and a lawful basis to upload, use, disclose, send, and collect information in each Customer Document; that your instructions do not infringe others' rights; and that you have given necessary notices and obtained legally required consents. You are responsible for the text, attachments, signature fields, recipients, document version, routing order, and any substantive legal terms of your documents.

5.4 Templates and educational materials. Where templates or example clauses are made available, they may be incomplete or unsuitable for your jurisdiction or transaction. You are responsible for editing, verifying, and obtaining professional review as needed. Neither availability of a template nor a completed signature establishes legal validity, regulatory compliance, or enforceability.

5.5 Moderation. We may remove or restrict access to material that we reasonably believe violates these Terms, laws, others' rights, or platform security. We ordinarily do not review customer agreements for correctness and have no general duty to monitor every document; this does not relieve us of obligations imposed by law.

6. Sender and Recipient Responsibilities

6.1 The Sender must identify the intended recipients accurately, provide complete and correct documents, obtain each party's agreement to transact electronically where required, choose an appropriate signing method, provide any mandatory disclosures, and independently confirm identity and signing authority when those issues matter. Do not address a signature request to a person who lacks capacity or authority, or knowingly use an email address or telephone number controlled by someone else.

6.2 The Sender bears responsibility for contract formation, required attachments, counterparty negotiations, payments under the agreement, data disclosed to recipients, legally required notices, delivery outside our system where needed, and records needed for litigation or compliance. Sending a document through TT Contracts is not proof of legal service of process, statutory notice, guaranteed receipt, or acceptance by the recipient.

6.3 Recipients should review every document carefully before completing a Signature Event. A recipient who suspects unauthorized use, mistaken routing, coercion, fraud, or an altered document should decline to sign and notify the Sender. A Signer represents that their act is voluntary and intended as the form of acknowledgment or signature shown in the interface, and that they are not deliberately signing as an unauthorized person.

6.4 Communications and documents may be sent to designated recipients through email or other supported methods. The Sender must use lawful contact information and comply with spam, privacy, consumer protection, and other applicable communications laws. An invitation, delivery event, opened-email event, or platform status is not by itself conclusive proof of receipt, identity, authorization, contract formation, or legal notice.

7. Electronic Transactions, Consent, and Signing Intent

7.1 Electronic signatures and records may have legal effect under laws such as the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and applicable state electronic transactions laws. Those laws do not automatically make every document legally sufficient or remove requirements about capacity, identification, specific disclosures, notarization, witnessing, consumer consent, format, or retention.

7.2 By intentionally selecting a clearly identified electronic-signature action and confirming the associated consent presented in the signing workflow, a Signer indicates an intention to electronically sign or acknowledge the identified document, subject to Applicable Law. Merely viewing a link or receiving an email does not constitute a signature. We may record available Signature Events, consent acknowledgments, timestamps, and transaction metadata for evidentiary purposes.

7.3 A Signer may refuse to use our electronic method before signing, subject to arrangements the Sender can lawfully offer. TT Contracts is not obligated to provide a paper-based alternative on a Sender's behalf. If a statute requires a consumer to receive records in writing and a Sender wishes to use electronic delivery, the legally responsible party must satisfy ESIGN's additional consumer-consent and disclosure requirements; an ordinary checkbox buried in general Terms is not necessarily sufficient.

7.4 Signers must have an opportunity to review the operative document and correct applicable input mistakes before completing the workflow as required by law. If you discover a mistake after signing, contact the Sender and, where relevant, us promptly. A corrected document may require a new signature process; the Sender must decide how to document amendments.

7.5 Where a party to a Customer Document withdraws consent to electronic records, the party initiating that transaction is responsible for honoring applicable withdrawal rights and arranging alternative delivery if required. Withdrawal does not automatically invalidate records previously lawfully supplied or signatures already validly completed.

8. Documents and Transactions Requiring Special Treatment

8.1 Certain records may be excluded from, or subject to additional requirements beyond, general electronic-signature legislation. Unless we have expressly confirmed a supported specialized workflow and your legal adviser has approved its use, do not rely on ordinary TT Contracts e-signatures for wills, codicils, testamentary trusts, adoption or divorce instruments, court filings or orders, legally restricted Uniform Commercial Code instruments, regulated notices of eviction or foreclosure, certain insurance or utility termination notices, product-safety notices, hazardous-material transport records, or any document for which law requires original paper, a certified witness, notarial formalities, a specified identity assurance level, or another regulated process.

8.2 Examples such as healthcare intake, employment files, leases, transport paperwork, consumer credit disclosures, and regulated financial documents may involve special recordkeeping, privacy, notice, approval, or professional licensing requirements. A marketing example does not establish that every legal use case is supported. Customers must determine whether a particular workflow meets all applicable rules before using it.

8.3 Unless we execute a separate appropriate agreement and confirm technical support, do not upload protected health information subject to HIPAA, payment-card data beyond approved payment fields, full financial account credentials, government secrets, highly sensitive identification credentials, or other regulated high-risk data. We may restrict certain categories or request additional controls.

9. Signature Attribution, Audit Data, and Evidence

9.1 Depending on the plan and supported workflow, the Services may generate a completion history, event records, access logs, audit-trail information, or a downloadable completed file. Such records may help parties assess what occurred but are not an independent identity certification or a guarantee that a court, agency, counterparty, or expert will accept them as authentic or sufficient.

9.2 The probative value of an electronic record depends on applicable law and surrounding evidence, including account controls, email possession, device access, consent, signer intent, tampering, and the parties' practices. Security controls, signature images, timestamps, and access links are not foolproof and may not independently establish who acted.

9.3 We may retain system records in accordance with our data-retention practices, but a user's documents and litigation evidence remain that user's responsibility to preserve. You should promptly download completed agreements and available certificates or event histories, keep independent copies, and establish your own retention and legal-hold procedures.

9.4 We may respond to lawful requests and cooperate with legally required investigations. Requests for records may involve verification, legal process, confidentiality safeguards, technical limits, and reasonable charges where lawful and disclosed.

10. Document Retention, Exports, Deletion, and Legal Holds

10.1 TT Contracts is not your only required records repository, permanent archive, legal custodian, or disaster-recovery provider. Availability of documents after suspension, plan expiration, or cancellation can be limited by technical, contractual, privacy, or legal considerations. It is your responsibility to regularly export information and maintain independent backups for tax, employment, litigation, business continuity, and statutory retention needs.

10.2 You may be able to export or delete documents subject to your plan, permissions, product functionality, applicable law, and any legal hold. Deletion can be delayed or restricted where we must preserve records for legitimate legal, billing, fraud prevention, security, or compliance reasons. Backups may remain for a limited period as described in the Privacy Policy or applicable agreement.

10.3 Account cancellation is not the same as complete data erasure. Before cancelling, export the records your Organization is required to maintain. The actual export formats, access windows, retention periods, and deletion practices must be accurately disclosed in the product and Privacy Policy; nothing here promises an unsupported retention period or permanent availability.

11. Privacy, Confidentiality, and Data Protection

11.1 Our collection, use, disclosure, retention, and protection of personal information are described in our separate Privacy Policy, available at https://www.truckerstalentesign.com/privacy. These Terms do not substitute for legally required privacy notices, consents, data processing agreements, or consumer rights processes.

11.2 You must safeguard information you obtain through TT Contracts and use recipients' personal data only for legitimate purposes consistent with your notices, authorization, and law. Do not sell, scrape, repurpose, publish, or unlawfully disclose a Signer's details or confidential Customer Documents.

11.3 Each party will use reasonable care to protect the other's properly identified confidential information, except as needed to perform the Services, comply with law, enforce rights, or act on instructions of authorized users. Disclosure to service providers must be subject to appropriate confidentiality and security duties. This section does not make a public-facing or voluntarily shared document confidential as to its intended recipients.

11.4 A Customer that controls another person's personal information is responsible for its own notices, lawful basis, retention schedule, data-subject responses, and vendor assessments. If TT Contracts processes personal data on a Customer's behalf in circumstances requiring a processor agreement, the parties must enter into an applicable DPA; no DPA is deemed signed merely because one is mentioned here.

12. Security, Availability, and Incident Reporting

12.1 We maintain and may update technical and organizational safeguards appropriate to the Services and the information we process, as described in published security documentation and applicable agreements. No internet service can guarantee absolute security, uninterrupted operation, or immunity from unauthorized access. We will not claim particular certifications, encryption methods, geographic storage locations, or regulated compliance status unless accurately documented and verified.

12.2 You must configure access permissions prudently, use available authentication controls, protect devices and networks, promptly revoke compromised invitations and access, and notify us without unreasonable delay of suspected misuse. Do not use public or shared devices to access sensitive documents without reasonable safeguards.

12.3 We will handle confirmed security incidents and legally required notices in accordance with Applicable Law and relevant contractual commitments. We may temporarily restrict access, reset credentials, suspend invitations, or take proportionate protective action when reasonably necessary to safeguard users and systems.

13. Acceptable Use and Prohibited Activity

You agree not to: (a) forge a signature, impersonate another person, commit identity theft or document fraud, or sign without authority; (b) upload illegal, deceptive, threatening, discriminatory, defamatory, abusive, or infringing materials; (c) send unsolicited bulk-signature campaigns or use the Services for harassment or unlawful outreach; (d) use documents to facilitate unlawful lending, financial fraud, sanctions evasion, trafficking, or other unlawful conduct; (e) circumvent authentication, authorization, technical limits, subscription metering, or security controls; (f) scrape data, reverse engineer except where nonwaivable law allows, introduce malware, or disrupt the service; (g) use another person's documents or personal information without a lawful right; (h) conduct security testing without written authorization; (i) resell or white-label the Services without an express commercial agreement; or (j) use the Services in a manner that violates the rights of any signer or other third party.

We may investigate credible reports, remove content, suspend suspicious workflows, restrict accounts, preserve evidence, and refer unlawful conduct to authorities where appropriate and lawful. We do not warrant that abuse screening will detect every fraudulent or unauthorized transaction.

14. Third-Party Services, Integrations, and Payment Processors

The Services may link to or interoperate with independent vendors, including payment processors, delivery providers, identity tools, hosting platforms, and business integrations. Those vendors may impose their own agreements and privacy disclosures. We are not responsible for independent third-party acts or outages except to the extent that responsibility cannot legally be excluded or that an agreement expressly provides otherwise. A customer's authorization to connect an external service permits the processing reasonably necessary for that integration, subject to applicable notices and agreements. We may suspend an unsafe or unsupported integration.

15. Intellectual Property, Feedback, and Platform License

15.1 Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable right to use available Services for lawful internal business or personal purposes during your permitted access period. No source code, ownership of the software, database rights, or rights in our marks transfer to you.

15.2 You must not reproduce or commercially exploit our proprietary platform technology, remove legal notices, or use the TT Contracts marks to imply sponsorship or endorsement. Open-source components, if any, remain subject to their applicable licenses.

15.3 Suggestions and feedback volunteered without confidentiality restrictions may be used to improve the Services without compensation, but feedback rights do not transfer ownership of Customer Documents or private customer data.

PART II. BILLING, SUBSCRIPTIONS, AND SERVICE CHANGES

16. Plans, Trials, Limits, and Fair Use

16.1 TT Contracts may offer Free, Starter, Professional, Unlimited, or other plans, with features, document allowances, team seats, and other limits specified at checkout or in an applicable Order. Pricing and plan details shown on the public website are descriptive; the accepted checkout or Order controls your subscription if there is a conflict, subject to mandatory law. We will provide material price, cadence, renewal, trial, and cancellation terms before you submit payment.

16.2 A Free plan may be subject to usage limits and changes made on reasonable notice. A paid trial applies only where expressly offered and accepted at checkout. If a payment method is required, we will disclose whether the trial converts to a paid plan, the trial end date, the amount and frequency of subsequent charges, and how to cancel before billing begins.

16.3 Where a plan is marketed as “Unlimited,” the term refers to the specifically identified document or template allowance, not to unlimited computing capacity, storage without any restrictions, abusive automated traffic, unlimited seat counts, or unrestricted support. Any material fair-use limitations, throttling rules, or exclusions must be presented transparently and must not contradict the advertised essential plan benefit.

16.4 We may introduce reasonable security, anti-fraud, or technical restrictions. We will not retroactively impose undisclosed material usage caps on a paid term without legally adequate notice and any remedy required by law.

17. Payments, Automatic Renewal, and Taxes

17.1 You agree to pay disclosed charges for paid Services and authorize the payment processor designated at checkout to charge the selected method according to your accepted subscription terms. Unless a different term is prominently disclosed, subscriptions renew for successive periods matching the purchased plan until cancelled, subject to legally required advance notices and consents. We do not store card data except as described in our Privacy Policy and actual processor arrangements.

17.2 By enrolling in a recurring plan, you authorize the disclosed recurring charges and any separately accepted taxes or usage charges. You are responsible for maintaining valid billing information. Failed payments may result in reminders, downgraded features, or suspension following notices required by law and our disclosed billing policy.

17.3 Taxes and government charges, when applicable, will be identified and collected or invoiced as required by law. You are responsible for charges incurred by authorized account users and any disputed use you caused through failure to protect credentials, except where law or processor rules provide otherwise.

17.4 A service-fee dispute must be reported promptly through the support address. We will reasonably investigate documented errors. Nothing prevents a lawful payment dispute, chargeback, or exercise of mandatory consumer rights; fraudulent chargebacks or intentional misuse may lead to lawful account restrictions.

18. Cancellation, Downgrades, Refunds, and Trial Conversion

18.1 You may cancel renewal using the working account billing controls provided for your plan, or an alternative readily accessible method prominently disclosed at checkout. Cancellation stops future renewal charges when it takes effect. Except where law requires otherwise, a cancellation ordinarily takes effect at the end of the then-current paid billing period; you remain responsible for charges properly accrued before cancellation.

18.2 We will present the method and effective date of cancellation before or during subscription enrollment. A cancellation request must not be deliberately obstructed. We will give legally required confirmations, trial or renewal reminders, and refunds where applicable.

18.3 Unless an Order or mandatory law states otherwise, amounts already paid for a billing period are not automatically prorated when a Customer stops using the Services. This rule does not limit refunds due for duplicate or erroneous charges, unfulfilled statutory rights, or other situations where a refund is legally required. Any discretionary credit or goodwill refund does not create a permanent right to repeated credits.

18.4 Downgrading may affect document volume, team features, active workflows, and access to material stored in the workspace. The product must clearly explain material impacts before the user confirms a downgrade and provide a meaningful opportunity to export records where required by law.

19. Modifications, Maintenance, Suspension, and End of Service

19.1 We may modify, improve, or discontinue features for legitimate operational, compliance, or security reasons. We will give legally required notice of material adverse changes to paid functionality and any contractual or statutory cancellation/refund rights. We may perform scheduled or emergency maintenance.

19.2 We may temporarily suspend or restrict a user or document workflow where reasonably necessary to address suspected fraud, prohibited content, unauthorized access, non-payment, legal process, or an imminent security risk. When appropriate and lawful, we will provide an explanation or opportunity to remedy. We are not required to complete a fraudulent or prohibited transaction.

19.3 Users may stop using the Services at any time, subject to payment and record-preservation obligations that validly survive. On termination, the platform license ends and access to certain features or documents may be discontinued. Customers must export necessary documents before effective termination, subject to any legally required access, privacy rights, or separate retention agreement.

20. Affiliates, Branding, and Separate Businesses

TT Contracts is a product operated by Truckers Talent Incorporated. References to associated brands, recruiting companies, logistics marketplaces, transportation software, or other businesses do not by themselves make those companies parties to these Terms or to Customer Documents. Each separate entity is responsible for its own legally attributable acts and obligations. No relationship of agency, partnership, employer, escrow fiduciary, or joint venture is created by a marketing link or interoperable workflow. If a separate service has its own agreement, that agreement governs that service. This clause does not eliminate liability imposed by applicable law for a party's own conduct.

PART III. WARRANTIES, RISK ALLOCATION, AND DISPUTES

21. User Representations and Compliance

You warrant that you have authority to use the Services, upload Customer Documents, contact recipients, grant required permissions, and conduct relevant transactions. You will comply with applicable contract, employment, privacy, consumer protection, electronic signature, anti-discrimination, advertising, accessibility, export, and industry-specific law. You will not rely on our marketing or template library as legal confirmation that a given agreement is appropriate for a particular jurisdiction or industry. You remain responsible for professional advice and legally required records outside TT Contracts.

22. Disclaimers of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, TEMPLATES, AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE, EXCEPT TO THE EXTENT NONWAIVABLE LAW REQUIRES OTHERWISE. We do not guarantee error-free transmission, indefinite storage, uninterrupted availability, achievement of a business outcome, signer identity, document enforceability, or legal sufficiency. No oral or written statement creates a warranty unless set out in a binding written agreement with us. Nothing in this section overrides explicit service commitments in an applicable signed enterprise agreement or mandatory statutory rights.

23. Allocation of Contract, Fraud, and Third-Party Risks

23.1 Disputes concerning the meaning, performance, payment, breach, fraud, coercion, employment status, legal capacity, or enforceability of a Customer Document are primarily disputes among its parties and alleged signers. TT Contracts does not adjudicate such disputes and is not responsible simply because it hosted the document or recorded a signature event. We may provide permitted records pursuant to lawful process.

23.2 You accept that email addresses, devices, passwords, signing links, networks, and parties can be compromised or misused. You must select appropriate verification steps for your transaction and exercise commercially reasonable diligence. Where the platform offers specific security options, you are responsible for enabling those appropriate to your risk.

23.3 These risk allocations do not excuse TT Contracts from its own breach of applicable law, fraud, gross negligence, willful misconduct, or other nonwaivable obligations. The ability to bring claims against the actual wrongdoer is not waived by use of our platform.

24. Limitation of Liability

24.1 Excluded losses. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TT CONTRACTS AND THE COMPANY'S OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE UNDER THESE TERMS FOR INDIRECT, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST BUSINESS OPPORTUNITIES, ANTICIPATED PROFITS, OR LOSS OF GOODWILL, EVEN IF ADVISED THAT SUCH LOSSES MIGHT OCCUR. This exclusion does not apply where prohibited by law.

24.2 Aggregate cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID BY YOU TO THE COMPANY FOR TT CONTRACTS SERVICES DURING THE 12 MONTHS IMMEDIATELY BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. Separate claims arising from the same events do not multiply this cap. A separately executed enterprise agreement may replace this limit.

24.3 Mandatory carve-outs. Neither the foregoing exclusions nor the cap limit liability to the extent such limitation is unlawful, including any liability that cannot be limited for fraud, intentional misconduct, or other conduct as determined by governing law; they do not limit legally nonwaivable consumer rights, remedies, or statutory duties. If a particular exclusion is unenforceable, the remainder applies to the fullest lawful extent.

24.4 Nothing in these Terms creates a duty on the Company to pay the value, face amount, consideration, lost payment, or expected profits under a Customer Document merely because a signature or document was processed through the Services.

25. Indemnification - Third-Party Claims

25.1 Business Customers. To the extent permitted by law, an Organization or other business Customer will defend and indemnify the Company, its affiliates, and their personnel against third-party claims, damages, judgments, costs, and reasonable attorneys' fees to the extent arising from (a) that Customer's Customer Documents or instructions; (b) its breach of these Terms or Applicable Law; (c) its unauthorized collection, sharing, or disclosure of personal information; (d) fraud, infringement, or misrepresentation by that Customer or its authorized users; or (e) dealings under a Customer Document, excluding harm to the extent caused by the Company's own negligence, breach of law, fraud, or willful misconduct.

25.2 Individual consumers. To the extent permitted by law, an individual using the Services outside a business capacity is responsible for third-party claims caused by that individual's unlawful or intentional misuse, infringement, or material breach of these Terms; this provision does not impose an unlimited defense obligation where consumer law forbids it.

25.3 The party seeking indemnity must provide reasonably prompt notice, allow appropriate control of the defense by the indemnifying party, and reasonably cooperate. No settlement may admit fault or impose a nonmonetary obligation on an indemnified party without its prior written consent, not to be unreasonably withheld. Failure to provide prompt notice reduces indemnity only to the extent of material prejudice.

26. No Employment, Agency, or Other Third-Party Relationship

Neither the Company's operation of the software nor its transmission of documents makes it an employer, recruiter, staffing agency, freight broker, carrier, insurance producer, lender, real-estate agent, lawyer, or party to documents using those subjects. Users are responsible for relevant licensing, working relationships, legal notices, payment terms, and regulatory compliance. No third-party user can bind TT Contracts to a contract absent an authorized written agreement signed by the Company.

27. Resolving Problems Informally

Before starting arbitration or litigation involving the Services, the claimant should send a written notice describing the dispute, facts, requested relief, and contact details to the address in Section 32. The parties will attempt a good-faith informal resolution for 30 days after receipt. Either party may seek urgent judicial relief to protect intellectual property, confidential information, or safety where permitted; and either may bring an eligible matter in small claims court. This section does not prevent statutory complaints or agency filings.

28. Arbitration, Class-Action Waiver, and Opt-Out

PLEASE READ: THIS SECTION AFFECTS HOW DISPUTES MAY BE RESOLVED. IT APPLIES ONLY TO A PERSON OR ENTITY THAT HAS AFFIRMATIVELY AGREED TO THESE TERMS. AN INVITED SIGNER WHO HAS NOT ACCEPTED THIS AGREEMENT IS NOT BOUND TO THIS ARBITRATION PROVISION MERELY BY RECEIVING A DOCUMENT.

28.1 Agreement to arbitrate. Except for eligible small-claims matters, intellectual-property or confidentiality claims seeking urgent injunctive relief, and other claims that cannot legally be arbitrated, disputes between you and the Company relating to these Terms or the Services will be resolved by binding individual arbitration governed by the Federal Arbitration Act. The American Arbitration Association (AAA) will administer the case under its then-applicable Consumer Arbitration Rules when required for a consumer dispute and its Commercial Arbitration Rules for other matters, subject to enforceability and the administrator's acceptance.

28.2 Fair process and venue. Consumer hearings may be held remotely or at a reasonably accessible location consistent with applicable AAA consumer rules and law. Commercial arbitration will ordinarily occur in Miami-Dade County, Florida, or remotely if the parties or arbitrator determine appropriate. Fees and arbitrator selection will follow applicable AAA rules and mandatory consumer protections. Either party may seek relief available under substantive law, subject to enforceable limitations in these Terms.

28.3 Individual proceedings. Where enforceable, disputes must be brought on an individual basis, not as a class, collective, private-attorney-general, or consolidated representative proceeding. Whether any class waiver can be enforced is determined by the appropriate decision-maker under Applicable Law. If a particular waiver is invalid for a particular claim, that claim proceeds in the appropriate court and remaining arbitrable claims remain in arbitration when lawful.

28.4 Opt-out. You may opt out of this arbitration agreement by emailing [email protected] with the subject “TT Contracts Arbitration Opt-Out” within 30 days after you first affirmatively accept these Terms. Include the name and email associated with your Account (or the signing invitation) and an unambiguous opt-out statement. Opting out will not affect your eligibility to use the Services or modify provisions unrelated to arbitration.

28.5 Coordinated demands. If related arbitration filings involve many similar claims, the parties and arbitrator will use the AAA's then-applicable Mass Arbitration Supplementary Rules when those rules apply. Nothing here requires unilaterally imposed batching that conflicts with AAA rules or applicable law.

28.6 Alternative forum and severability. If AAA declines administration and the parties cannot agree on a comparable neutral provider, an otherwise arbitrable dispute may be resolved in a court of competent jurisdiction unless law requires a different mechanism. This section does not shorten any nonwaivable limitations period or bar claims before government agencies.

29. Governing Law and Courts

These Terms are governed by Florida law, excluding choice-of-law principles, except that the Federal Arbitration Act governs the agreement to arbitrate. A lawsuit permitted outside arbitration shall be brought in a state or federal court with jurisdiction in Miami-Dade County, Florida, except where nonwaivable consumer law requires a different forum. This clause does not determine the governing law of a Customer Document between third parties.

PART IV. GENERAL TERMS

30. Entire Agreement; Orders; Data Terms; Priority

These Terms, an accepted Order, and any additional terms expressly agreed for a particular service constitute the agreement for the relevant TT Contracts services. A separately signed enterprise agreement controls in the event of a direct conflict about the same subject; otherwise, a specific Order controls pricing, seats, and included features, followed by these Terms, followed by supporting product documentation. A signed DPA governs personal-data processing within its defined scope and will not be overridden by a general order of precedence. A Privacy Policy is a notice about data handling, not a waiver of consumer rights. Agreements within Customer Documents govern their own parties and do not modify these Terms or impose obligations on TT Contracts.

31. Updates to These Terms

We may update these Terms to reflect legal, product, security, or operational changes. The operative version will state an effective date and be accessible from the product. For material changes, we will provide reasonable advance notice by available account or email channels and seek renewed affirmative acceptance where law or enforceability requires it. Changes do not retroactively alter accrued disputes without a valid separate agreement. If you reject materially updated Terms, you may stop using the Services and cancel future renewal charges subject to applicable law and your Order.

33. Miscellaneous

33.1 Independent contractors. These Terms do not create an employment, agency, joint venture, partnership, or fiduciary relationship between the Company and a user.
33.2 Assignment. You may not transfer an Account or these Terms without prior written consent, except as permitted by law. We may assign the agreement in connection with a legitimate reorganization, merger, or asset transfer, subject to applicable notice, privacy protections, and law.
33.3 Force majeure. Neither party is responsible for performance delayed by events beyond its reasonable control, except accrued payment duties and obligations that law does not excuse; we will use reasonable efforts to restore affected Services.
33.4 Severability. Invalid provisions are severed or narrowed only as law permits; the balance remains effective.
33.5 No waiver. Failure to enforce a provision immediately does not waive later enforcement.
33.6 Accessibility. We aim to support reasonably accessible use; a user who cannot use a signing flow should contact the Sender or support for alternatives. Rights to legally required accommodations are not waived.
33.7 Language. English is the controlling version to the extent permitted by law. Required translations and local consumer notices override inconsistent language-priority rules where law requires.
33.8 No third-party beneficiaries. These Terms generally benefit the contracting parties; no third party gains contractual enforcement rights except where expressly stated or mandated by law.
33.9 Survival. Validly accrued payment duties, document permissions needed for recordkeeping, ownership, confidentiality, legal compliance, limitation of liability, indemnity, disputes, and other provisions intended by nature to survive will survive termination to the extent lawful.
